This is institutional knowledge, not a client script. Module eight is internal mechanics and should not be presented to a client. Clients want the outcome (protection, cash flow, tax), not how the structure is built inside the plan. The version a client hears is always the one their own accountant and the plan's TPA have both signed off on.

1 · Longevity and Social Security
This module does one job: move the client's question from "how much do I have" to "how many years do I have to fund."
The framing is a first life and a second life. Before retirement you live on earned income, which lands every two weeks and you can see it. After, there's no salary; assets earn for you, but growth you never sell and never draw doesn't feel like money. That missing sense of security is the opening.
The case that goes with it works without any precision: a woman in her seventies with eight figures of net worth (three properties, a large IRA, a block of highly appreciated stock) and about a thousand dollars a month of cash flow. She said "I'm poor." The problem isn't the money; it's that none of it produces cash flow.
Social Security: the 2026 figures
Taxable wage base | $184,500 |
Self-employment rate into the system | 12.4% |
Be fair about it: Social Security isn't going away; the problem isn't whether it exists but that it's nowhere near enough. It's the floor, not the ceiling. The insolvency anxiety comes from the support ratio: the system was designed with many workers per beneficiary and is trending toward two.
1b · How the Social Security number is actually computed
Saying Social Security is "a floor, not a ceiling" invites one question: "so how much will I get?" This section works the calculation through, and it matters most for clients who immigrated, because the formula contains a trap aimed squarely at them.
First, 40 credits
Only earned income builds credits, at a maximum of four a year, so 40 credits is four a year for ten years. Investment income, rent, and pensions build none. It's the same logic as the earned-income definition in Tax Planning.
420The formula: the best 35 years, divided by 420
Take the highest 35 years of indexed earnings, average them per month, and run the result through three bend points. These are the 2025 bands:
The portion up to $1,226 | × 90% |
Second band | $1,226 – $7,391$1,226 to $7,391 | × 32% |
If there are fewer than 35 years, the missing ones enter the average as zero. Someone who worked ten years in the US carries twenty-five zeros. The denominator is always 35, never the number of years actually worked.
It explains why so many immigrant clients find their benefit surprisingly small, and it's a strong planning argument at the same time: the gap this creates can't be filled inside Social Security, so it has to be filled somewhere else.
Four worked examples
Years worked and average earnings | 月均(÷ 35 年)Monthly average | 每月社安金Monthly benefit |
|---|---|---|
0)10 years at $30k, 25 zeros | $714 | $643 |
0)25 years at $50k, 10 zeros | $2,976 | $1,663 |
35 years at $100k | $8,333 | $3,218 |
| 35 年 × $20 万35 years at $200k | $14,675(按工资上限封顶后)$14,675 (after the wage base cap) | $4,169 |
Note the fourth row: a $200,000 earner is credited not with $200,000 but with that year's taxable wage base (here $176,100, the 2025 figure). The 2026 base is $184,500; they are two different years, so confirm which applies.
Put the four rows together and they make the point better than any sentence: doubling the income does not come close to doubling the benefit. Going from $100k to $200k of earnings, another $100,000 a year, adds $951 a month. That's exactly what the three bend points (90%, 32%, 15%) are doing, and it's why higher earners have the larger gap to fill themselves.
When to claim
62, the earliest | 70% |
67, full retirement age | 100% |
8% 8% per year deferred |
Delayed retirement credits stop at 70, so someone with a full retirement age of 67 tops out at 124%. For the cohort whose full retirement age is 66 (born 1943–1954), deferring from 66 to 70 gives 132%. Check which full retirement age the client actually has before you quote either.
Spousal, survivor, and ex-spouse benefits
Condition |
|---|---|---|
| 已婚配偶Spouse | 补足到较高一方的 50%(例:一方 $3,000,另一方 $1,200 → 补到 $1,500)Topped up to 50% of the higher earner's (one at $3,000 and one at $1,200 becomes $1,500) | 结婚满 1 年Married 1 year |
100%From 60 at 71.5%; at full retirement age, 100% | 结婚满 9 个月Married 9 months |
50%50% of the ex-spouse's at full retirement age | 婚姻超过 10 年、离婚超过 2 年、保持单身Married over 10 years, divorced over 2, currently unmarried |
| 离异且前任去世Divorced survivor | 可领 100%100% | 婚姻超过 10 年、60 岁前保持单身(残疾者 50 岁即可领)Married over 10 years and unmarried before 60; from 50 if disabled |
The two divorced rows are the most overlooked, and the ones clients assume can't be true. A client who was married more than ten years and is currently unmarried needs no consent from the ex-spouse, and claiming does not reduce the ex-spouse's own benefit. Most people don't know this, and it's the kind of thing that builds trust on the spot.
How the benefit is taxed
First compute combined income: other income plus half the Social Security benefit, then check it against the thresholds. California doesn't tax the benefit; only the federal treatment matters:
Taxable portion |
|---|---|---|
| ≤ $32,000 | ≤ $25,000 | 0% |
| $32,000 – $44,000 | $25,000 – $34,000 | 最高 50%Up to 50% |
| > $44,000 | > $34,000 | 最高 85%Up to 85% |
Two examples, married filing jointly with a $20,000 benefit. With $10,000 of other income, combined income is $20,000, below $32,000, so the benefit is entirely tax-free and taxable income is $10,000. With $60,000 of other income, combined income is $70,000, above $44,000, so $17,000 of the benefit is taxable and taxable income is $77,000.
This table is where our work actually pays, and it connects directly to IRMAA. "Other income" includes withdrawals from a traditional IRA or 401(k), so an RMD doesn't just carry its own tax, it can push the Social Security benefit from untaxed to 85% taxable and push the Medicare premium into the next bracket. One withdrawal, three increases. Moving money before retirement into containers that don't enter this formula is where the value sits.
2 · Annuities
The four attributes
Growth, liquidity, tax treatment, guaranteed lifetime income: no single instrument holds all four. High growth usually costs you the tax treatment or the liquidity; guaranteed income usually costs you the growth. So the answer is always a combination, each part covering two of the four. The annuity's job is the two hardest: tax treatment and lifetime income.
The companion shorthand is red money and green money: red is aggressive and volatile, weighted toward the years when income is steady; green is safe and principal-protected, weighted up as retirement approaches.
Four accounts
Cash flow
Three to six months of living costs, plus near-term spending and the lifetime income source. It matters more the closer retirement gets.
Leverage
Small premium against large risk: life, critical illness, accident, long-term care.
Retirement
Compounding, principal protection, certainty. Long-horizon cash flow, usually with a tax advantage or a contractual guarantee.
Long-term growth
Risk assets against inflation: equities, funds, and the like.
The order is the point: secure the cash flow first, and only then be aggressive in equities or leveraged in property. One way to put it: you want one business that earns even if the sky falls, and what makes that possible is cash flow.
What an annuity is
三个角色是拥有人 Owner(控制一切: 掌管资金、指定受益人,最重要的一个)、被年金人 Annuitant、受益人 Beneficiary。
You hand money to an insurance company to invest. There are three roles: the owner (who controls everything: the money and the beneficiary designation, and matters most), the annuitant, and the beneficiary. There are two phases, accumulation and income, and it can stay in accumulation indefinitely.
Why only insurers? Because the product absorbs longevity and mortality risk, and promising income for as long as you live requires actuarial and insurance machinery. Banks, funds, and brokerages can't make that promise.
Tax deferral is the core, and one question explains it: why pay tax on money you haven't used? CD and bond interest is taxed annually whether you spend it or not; an annuity in accumulation isn't taxed until you draw. But the gain is then taxed as ordinary income, not capital gain. Volunteer that.
Five kinds

A multi-year guaranteed rate, like a long CD. Conservative green money, best bought when rates are falling | 累积Accumulation |
Index-linked: participates on the way up subject to a cap or participation rate, credits 0% on the way down. An income rider normally adds an annual charge | 累积Accumulation |
The income value rolls up by contract; predictable, but no inflation protection | 收入Income |

Case: building your own pension
The path for a $500,000 income annuity at 55: a 30% first-year bonus takes the income value to $650,000; a guaranteed 9.5% roll-up runs for twelve years; by year thirteen the income value is about $1.93M, supporting roughly $91,000 a year for life. The roll-up: $650,000 × 1.095¹² ≈ $1,931,000.
Quote "income value ≈ $1.93M" on its own and a client will read it as an account balance. What rolls up is the income value, not the cash value. The cash value grows slowly by design, to encourage taking income rather than walking away. That money is only accessible as contractual income; surrender does not pay it. Say this in the same breath as the number, never in response to a question.
Also: the 30% bonus and 9.5% roll-up are one specific product's parameters at the time. Check the current material before you use them.
The tax depends on what you buy it with
An annuity has no inherent tax character; it takes on the character of the money used to buy it. A useful image: the cup has no flavour, the water does.
Only the gain is taxed; basis has already been taxed |
Principal and gain both come out tax-free |
Fully taxable on withdrawal |
Note: withdrawals before 59½ carry a 10% penalty on the gain, which is why the annuity market sits above age 50.
3 · The map: the one side insurance can enter
This is the dividing line the entire eighth module rests on.
IRA / Roth
Individual accounts
Set up by the individual, unrelated to any employer. Traditional: pre-tax in, tax-deferred growth, fully taxable out. Roth: after-tax in, growth and withdrawals tax-free, with income limits on eligibility.
Two things can't go in: collectibles and life insurance. Creditor protection follows the IRA rules, with a federal bankruptcy cap around $1.71M, adjusted every three years.
Employer qualified plans (ERISA)
Set up by a company for its employees. Only collectibles are flatly out; real estate is permitted, and so is life insurance. Plan assets carry full creditor protection, which is what doctors and business owners value most.
★ This is the stage module eight plays on.
"Almost anything" is a simplification. Plan investments are still bound by the prohibited transaction rules and fiduciary prudence, so it is not "anything but collectibles." With a business owner, say "life insurance is an expressly permitted asset," not "anything can go in."

4 · ERISA: four benefits and who must be covered
The logic of ERISA 1974: the government uses tax benefits to ask employers to run retirement plans for their employees. The key phrase is "for employees", which is what makes it structurally different from an IRA.
Full deduction
Everything the company puts in that year comes straight off profit.
Tax deferral
Gains and interest inside the plan defer until distribution.
Start-up credit
A credit (dollar for dollar, not a deduction) for the first three years of a new plan, $250–$5,000 a year depending on headcount.
Creditor protection
Full protection from creditors. For a practitioner who can be sued, this is the moat.
Who has to be covered
The default three conditions: ① receiving compensation (the owner counts, but needs W-2 or earned income), ② age 21, and ③ 1,000 hours in a plan year. The rule is you may loosen, never tighten: you can drop to 18 or waive the hours to bring more people in; you cannot require 25 and two thousand hours to keep people out.
The usual failure: assuming part-timers don't count. Thirty hours a week for fifty-two weeks clears 1,000 hours and must be included. SEP and SIMPLE are looser and easier to trip over: SEP pulls in anyone with $750 or more of compensation in three of the past five years, with no hours test; SIMPLE pulls in anyone with $5,000 in the past two years. Missing an eligible employee gets the plan assessed.
Entity type doesn't matter: C corp, S corp, LLC, LP, partnership, sole proprietorship, or 1099 self-employment. Revenue is the only requirement.
TPA5 · Plan types: DC, DB, and whether there's a TPA
The difference: DC fixes what goes in; DB fixes what comes out.
Defined contribution
代表:Profit Sharing、401(k)、Money Purchase、Solo 401(k)。
Fixes the annual contribution; the eventual benefit isn't guaranteed. Capped at $72,000 for 2026, with the employer deduction limited to 25% of total payroll, a different number from the contribution limit. Profit sharing, 401(k), money purchase, solo 401(k).
A counterintuitive but fair point: strictly, a DC plan isn't really a retirement plan. It's tax-advantaged saving, because nobody can say what it will pay.
Defined benefit
Fixes the retirement benefit and works backward to the contribution. The 2026 benefit cap is $290,000, and an actuary derives the contribution from salary and interest assumptions.
Older and better paid means a larger contribution, which suits an owner who is older, highly paid, and has few employees.
TPAThe most useful analogy in the class: with or without a TPA
TPA = 第三方管理人。有 TPA 的计划像定制: 可贷款、可放寿险、能做复杂设计。 没有 TPA 的像现成模板,走 IRA 规则,这三件事都不行。
TPA = third-party administrator. A plan with one is bespoke: it can permit loans, hold life insurance, and carry custom design. A plan without one is off the shelf, runs on IRA rules, and can do none of the three.
Two equations follow: SEP ≈ profit sharing without a TPA; SIMPLE ≈ 401(k) without a TPA. So neither can hold life insurance, which is module five's whole conclusion for our purposes.
Safe HarborThe 401(k) bottleneck: testing and safe harbor
In practice older, higher-paid employees defer and younger, lower-paid ones don't. The ADP test therefore caps the highly compensated group against the rest: if the non-highly-compensated average is low, the owner's own deferral is pulled down with it, so the owner who wants the full $24,500 can't get there.
两种方式: 3% 非选择性(不管员工延不延,给全体薪酬 3%)或 配比 Match(常见 100% 配前 4%、再 50% 配次 2%)。
A safe harbor removes the test and lets the owner fund fully. Two routes: a 3% non-elective contribution to everyone regardless of whether they defer, or a match, commonly 100% of the first 4% plus 50% of the next 2%. Pick by the workforce: where employees defer, the 3% is cheaper; where they don't, the match is, because no deferral means no match.
6 · DB 进阶6 · DB, further in
Actuarially driven
Contributions come from salary and interest assumptions. It needs a steady income stream and usually implies about three consecutive years, with a maximum-minimum range each year.
412(e)(3) 全保险
412(e)(3) fully insured
Funded only with insurance products. Because the guaranteed rate is low, the derived contribution is higher and the deduction larger. It is the sanctioned route for moving substantial pre-tax money into insurance.
Cash Balance
Cash balance
A DB variant allocating by compensation and flattening the age effect, which is fairer between partners who own equally but differ in age.
Combo(DB + DC)
Combo (DB + DC)
A DB stacked on a 401(k) or profit sharing plan, maximising the owner's contribution while holding employee cost down. The DB side must cover at least 40% of employees.
7 · Three cases
What age does
An S corp with owners aged 60 and 53, one employee on $50,000, running a DB plus 401(k) combo. Same salary: at 27 the employee costs about $5,000, under 1% of total contributions; at 45 it's $21,750, more than four times as much.
Because a DB looks at years to retirement: thirty-five years of compounding ahead at 27, only seventeen at 45. Hence the ideal client profile: an older owner with a young workforce.
The usual misreading is that a DB locks the number forever. In practice a bad year can be frozen or reduced, and a good year raised later. The operative word is early: talk before the year closes. Owners with lumpy income (real estate, lending, development) are the natural fit for smoothing tax across years. But it wants roughly three consecutive years inside a max-min range, and it should not be run as a tax game.
Compensation definitions decide eligibility
S and C corps use W-2 wages as the contribution base: no W-2, no participation. Sole proprietors and partnerships use net earned income, and a partner needs self-employment income in K-1 box 14a to take part.
The common error: pushing everything into boxes 1 and 2 to avoid self-employment tax, leaving box 14a empty and the retirement plan impossible. It's a trade-off rather than a simple mistake. Whether the saved SE tax beats the forgone deduction has to be computed, not assumed.
④ Mega Backdoor Roth④ Mega backdoor Roth
Four steps: ① the plan document permits after-tax contributions; ② the plan permits in-service distributions; ③ the after-tax money moves to a Roth IRA immediately, before it generates taxable growth; ④ everything afterwards compounds tax-free.
Scale: all DC contributions (employer, elective deferral, and after-tax) must fit inside the $72,000 annual additions limit. In a one-person or spousal plan tens of thousands can move to Roth in a year; in a plan with employees the administration gets heavy, so use it carefully.
8 · Life insurance inside the plan
Why it's worth doing
Because it is one of the very few legal routes to buying life insurance with pre-tax dollars. Compare the ordinary ones: personal premiums aren't deductible; group term is deductible only on the first $50,000 of face, with the excess imputed to the employee; buy-sell premiums aren't deductible; key-person premiums aren't deductible. Bought the usual way, insurance is paid for with after-tax money.
An example: a C corp owner who wants $10,000 of premium out of pocket typically has to earn about $20,000, once corporate and personal tax have each taken a layer. Inside the plan the money is pre-tax, and it isn't income to the participant until distribution.
"Saves 40–50%" is that C corp example, not a general figure. The real number depends on entity type, state, and the client's marginal rate that year. With a client, say "it depends on your rate, so let's have your accountant run it."
How much can go in: three numbers
DC · a share of contributions
Non-whole-life (IUL, term, UL): up to 25% of contributions.
Whole life: up to 50%.
Example: $40,000 of combined 401(k) and profit-sharing contributions supports $10,000 of IUL; a couple contributing $40,000 each supports $10,000 each.
DB · a multiple of the monthly benefit
Face amount = monthly retirement benefit × 100. A $15,000 monthly benefit supports $1,500,000 of face. Set the face first, then derive the contribution.
DB and 412(e)(3) plans carry larger face amounts, and are the main route for a high-net-worth owner's large policy.
The key technique: economic benefit
Ask the question precisely: a death benefit funded with pre-tax plan money is not automatically income-tax-free. The "life insurance proceeds are tax-free" rule applies to policies bought with after-tax money.
The method: a $10,000 plan premium breaks into cost of insurance (say $500), other charges, and cash value. Only that $500 of insurance cost is left non-deductible; either the TPA issues a 1099 for $500 of income, or the deduction is simply taken at $9,500.
At death: $1.5M of face is $200k of cash value plus $1.3M of pure insurance. The $1.3M is income-tax-free because the insurance cost was paid with after-tax money; the $200k of cash value, built with pre-tax money, is taxable. The technique's name is economic benefit.
Where the insurance cost comes from: the carrier's published annually renewable term rates, or IRS Table 2001 if there are none. ART is usually lower than the IRS table, so the imputed amount is lower. Prefer ART. National Life is usually the most accommodating here, then John Hancock; check the current rates.
The exit: what happens at retirement
The part most often skipped and the one that has to be designed in advance: contributions stop at retirement, but the cost of insurance keeps climbing with age. Who pays it?
Surrender for cash
For a client who no longer needs the coverage. Roll the cash value into an IRA and close the policy and the plan. Note: you can't roll to an IRA and keep the policy, because an IRA cannot hold life insurance.
Distribute it, then borrow for the tax
For a client whose health has changed and who wants to keep the policy. Moving it out of the plan is a distribution and is taxed. The useful part: the tax isn't due until April 15 of the following year, and it can be paid by borrowing against the policy's own cash value. This is why plan-owned policies are often over-funded to build the exit.
The tax on exit B is not measured by cash value. A policy distribution is taxed on the contract's fair market value, which is generally higher than the cash surrender value (the IRS has a specific methodology here and the area has been litigated). Have the client's accountant and the TPA compute it before you quote a number; never estimate it off cash value in front of a client.
The finish: living benefits
An accelerated benefit is an advance on the death benefit. But when the policy is plan-owned, its tax treatment does not simply follow the death-benefit result above.
The tax treatment of the pure-insurance portion of a plan-owned death benefit rests on specific authority. Whether an accelerated living benefit is equally income-tax-free is not answered by any code section or ruling. Accelerated benefits sit under a separate set of rules with their own conditions, and stacking the two doctrines on a plan-owned policy is not a settled question.
Don't promise a client that living benefits are tax-free. On a live case, get written confirmation from the client's tax adviser and the plan's TPA before proceeding. We can explain how the structure is designed; we cannot say "so what you receive will be tax-free."
